Terms of Use
Binding agreement between WattAhead and any person or entity accessing the WattAhead website, dashboard, API, or database. Use of the Service means full acceptance of these Terms.
1. License Grant; Ownership
1.1. License Grants to Services and API
1.1.1. Use license
Subject to the Licensee's compliance with these Terms and payment of applicable Fees, WattAhead grants the Licensee a non-exclusive, non-sublicensable, non-transferable and revocable license to access and use the Service, the Data, and the Hoot Outputs, strictly for the Permitted Uses described below, during the subscription term.
"Permitted Uses" include: (a) internal consultation by the Licensee and its employees, (b) integration of the Data into the Licensee's internal tools, dashboards and analyses, (c) creation of Derivative Materials that comply with Section 4.2, and (d) any purpose expressly authorized in writing by WattAhead.
1.1.2. API access right
WattAhead grants a programmatic access right to the Service's API through a personal API key. This right is revocable at any time in the event of breach of these Terms, sustained quota overruns, or for the reasons listed in Section 2.5.
1.2. Use Restrictions
The Licensee shall not, directly or indirectly:
- circumvent, disable, or attempt to circumvent rate limits, quotas, authentication, or any security mechanism of the Service;
- engage in abusive scraping, use multiple accounts to multiply quotas, or deploy any device intended to degrade the performance or availability of the Service;
- use the Service, Data, ML predictions, or Hoot Outputs for automated, algorithmic, or high-frequency trading, without a separate signed Enterprise agreement with WattAhead;
- publicly redistribute, republish, share, or expose to third parties, in whole or in material part, the Hoot narratives, proprietary predictions, or enriched Data, other than for the Licensee's internal use, unless authorized in writing;
- use the Data, predictions, or Hoot narratives to train, fine-tune, evaluate, or calibrate any artificial intelligence, machine learning, or statistical learning model, whether competing or not, without WattAhead's prior written consent;
- reverse engineer, decompile, or disassemble the prediction models, algorithms, pipelines, or proprietary data schemas;
- resell, sublicense, rent, lease, or commercialize access to the Service, API keys, or Data;
- remove, obscure, or alter any proprietary notice, trademark, copyright, or attribution appearing in the Service or Data;
- use the Service for unlawful purposes, in violation of third-party rights, or in breach of third-party data source license terms (Section 12);
- attempt to access any account, data, or system that the Licensee is not authorized to access.
2. Delivery; Access and Suspension
2.1. Access method
The Service is accessible via: (a) the website wattahead.com, (b) the dashboard application app.wattahead.com, (c) the public API api.wattahead.com, and (d) where applicable, third-party marketplaces or resellers authorized by WattAhead.
2.2. API key
Programmatic access requires the Licensee to register and generate an API key. The API key is strictly personal, non-shareable, and must be kept confidential. Any action performed with a key is deemed performed by its holder. In case of suspected or confirmed compromise, the Licensee must revoke the key and notify WattAhead without delay at [email protected].
2.3. Usage data
WattAhead collects, processes, and retains technical usage data (requests, latencies, error codes, IP addresses, user agents, volumes) for operational, security, billing, statistical analysis, and Service improvement purposes. This data may be aggregated and anonymized by WattAhead for any internal use, including training its own models and communicating aggregated metrics.
2.4. Service evolution and no implied SLA
The Service is provided on a continuous SaaS basis. WattAhead may modify, add, deprecate, or remove features, endpoints, or datasets at any time, for technical, legal, economic, or strategic reasons. No service level guarantee (SLA) is implied. Availability commitments apply only where a written Enterprise agreement has been signed by WattAhead.
2.5. Suspension
WattAhead may immediately suspend, in whole or in part, the Licensee's access to the Service, with or without notice, in the following cases:
- security risk, suspected compromise, fraudulent use, or intrusion attempt;
- unlawful use, use contrary to public order, or infringement of third-party rights;
- breach of any Use Restriction in Section 1.2;
- sustained overrun of rate limits or quotas of the subscribed plan;
- breach by the Licensee of the license terms of third-party data sources aggregated by WattAhead (Section 12);
- non-payment after formal notice that has remained without effect;
- interruption or unavailability of a critical third-party provider (hosting, data source, AI provider), over which WattAhead has no direct control;
- injunction from a competent authority.
Suspension does not constitute termination. In case of unjustified suspension attributable to WattAhead, the Licensee's sole remedy is a prorated credit for the affected period.
2.6. Third-party marketplaces
If access is obtained through a third-party marketplace (RapidAPI, AWS Marketplace, or similar), that marketplace's terms apply in addition to these Terms. In the event of a conflict relating to billing or support, the marketplace's terms prevail for those specific aspects; these Terms govern the use of the Service itself.
3. Payment and Fees
3.1. Fees
Fees are those published on the Pricing page or specified in a signed order form. The free plan offers limited access (reduced rate limits, restricted features). Paid plans are billed monthly or annually, in advance.
3.2. Taxes
All Fees are expressed exclusive of taxes. Applicable taxes (VAT, GST, sales tax, withholding taxes) are borne by the Licensee and are added to the Fees.
3.3. Payment methods
Payments are made by credit card, bank transfer, or any other means accepted by WattAhead. Transactions are processed by a third-party provider (Stripe or equivalent), subject to its own terms.
3.4. Changes to Fees
WattAhead may change the Fees. Changes apply only to renewals occurring after notice, communicated by email at least 30 days in advance. The Licensee may terminate before the effective date.
3.5. Late payment and default
Any late payment triggers, after formal notice, suspension of the Service and application of late payment interest at the applicable statutory rate, plus reasonable collection costs.
4. Intellectual Property Ownership
4.1. Service and Data Ownership
The Service, its source code, its architecture, its interfaces, its data schemas, its proprietary ML models, its processing pipelines, its event detection systems, and all Hoot Outputs are the exclusive property of WattAhead, protected by applicable laws on copyright, databases, trade secrets, and trademarks.
The Licensee acknowledges that, although certain underlying data is sourced from public sources (ENTSO-E, EIA, AEMO, Open-Meteo, among others), the collection, aggregation, normalization, cleaning, temporal alignment, enrichment, ML predictions, and Hoot narratives result from substantial investment by WattAhead (in time, engineering, compute, and training data) and constitute original works and databases protected under applicable sui generis rights.
4.2. Licensee Derivative Materials
The Licensee may create "Derivative Materials" (internal dashboards, reports, analyses, research articles, visualizations) integrating the Data, provided that:
- Derivative Materials bring a substantial transformation of the raw Data (analysis, interpretation, combination with other data, original insight);
- they do not constitute a product or service competing with the WattAhead Service, nor a substitute for direct access to the Service;
- they do not allow any third party to reconstitute all or a material part of the Service, the database, or the WattAhead predictions;
- they comply with the attribution obligation in Section 4.4 when publicly distributed.
4.3. Feedback
Any feedback, suggestion, idea, feature request, or comment sent by the Licensee to WattAhead is assigned to WattAhead on a free, non-exclusive, worldwide, and perpetual basis, with no obligation of credit or compensation.
4.4. Attribution requirement
When the Licensee publicly distributes (website, publication, article, external dashboard, social media) any Derivative Material using WattAhead Data, predictions, or narratives, it must include a visible mention: "Powered by WattAhead" with a clickable link to wattahead.com. Alternative attribution arrangements may be negotiated in a written contract.
5. Reliance on Information; No Advice
The Licensee acknowledges and accepts that:
- energy markets are inherently volatile; predictions, whatever their quality, may be inaccurate, incomplete, or differ significantly from realized prices;
- ML predictions rely on statistical models trained on historical data, which in no way guarantee future results;
- data may contain delays, errors, gaps, or post-hoc corrections originating from the sources;
- the Licensee retains full responsibility for validating, cross-checking, and contextualizing the information before any operational, commercial, or financial decision;
- WattAhead cannot be held liable for financial losses, loss of business, commercial losses, or loss of opportunity resulting from decisions made based on the Service.
6. Publicity and Customer Lists
Unless the Licensee requests otherwise in writing, WattAhead may include the Licensee's name and logo in its commercial materials (website, presentations, case studies, press communications) to indicate that the Licensee uses the Service. The Licensee may opt out at any time by writing to [email protected]; WattAhead will then remove the mentions within a reasonable period.
7. DISCLAIMER OF WARRANTIES
THE SERVICE, THE DATA, THE ML PREDICTIONS, AND THE HOOT NARRATIVES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATTAHEAD EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, CONTINUITY, ERROR-FREE OPERATION, NON-INTERRUPTION, ABSOLUTE SECURITY, OR NON-INFRINGEMENT. WATTAHEAD DOES NOT WARRANT THE ACCURACY OF PREDICTIONS, THE RELIABILITY OF AGGREGATED THIRD-PARTY DATA, OR THE ABSENCE OF HALLUCINATIONS IN OUTPUTS GENERATED BY ARTIFICIAL INTELLIGENCE.
8. Indemnification
The Licensee agrees to defend, indemnify, and hold harmless WattAhead (and its officers, employees, contractors, and successors) against any claim, action, demand, damage, cost, expense, and reasonable attorneys' fees arising out of or related to:
- the Licensee's negligence, fault, or gross negligence;
- any use of the Service, Data, or Hoot Outputs in breach of these Terms;
- any use of Derivative Materials that infringes third-party rights (intellectual property, privacy, defamation);
- any breach by the Licensee of third-party data source license terms;
- any operational, commercial, or financial decision made by the Licensee or its customers based on the Service.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATTAHEAD SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS, OR REPUTATIONAL HARM, REGARDLESS OF THE CAUSE, EVEN IF WATTAHEAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WATTAHEAD'S TOTAL CUMULATIVE LIABILITY, ACROSS ALL CAUSES OF ACTION COMBINED, IS CAPPED AT THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY THE LICENSEE TO WATTAHEAD DURING THE TWELVE (12) MONTHS PRECEDING THE TRIGGERING EVENT, OR (B) ONE HUNDRED EUROS (EUR 100) / ONE HUNDRED U.S. DOLLARS (USD 100) FOR USERS OF THE FREE PLAN.
These limitations do not apply: (i) in cases of willful misconduct or gross negligence by WattAhead, (ii) to breaches of confidentiality obligations, (iii) to infringements of the Licensee's intellectual property attributable to WattAhead, or (iv) to any liability that cannot be excluded or limited under mandatory rules of applicable law (in particular consumer protection).
10. General
10.1. Entire agreement
These Terms, the Privacy Policy, the Cookies Policy, and, where applicable, any signed order form or Enterprise agreement, constitute the entire agreement between the parties and supersede any prior agreement on the same subject matter.
10.2. Governing law and jurisdiction
[TO COMPLETE: governing law and competent courts — to be defined with counsel based on final legal structure]. Mandatory consumer protection rules applicable to the Licensee's place of residence remain reserved.
10.3. Notices
Any notice under these Terms shall be sent by email to [email protected] for WattAhead, and to the email address associated with the Licensee's account.
10.4. Severability, non-waiver, assignment
- If any clause is held invalid by a competent court, the remaining clauses remain in full force.
- A party's failure to enforce a right does not constitute a waiver of that right.
- The Licensee may not assign these Terms without WattAhead's prior written consent. WattAhead may freely assign its rights and obligations in the context of a reorganization, merger, acquisition, or transfer of business.
10.5. Force majeure
Neither party is liable for a failure caused by a force majeure event (natural disasters, armed conflicts, pandemics, major Internet or electrical grid failures, government decisions, acts of terrorism, large-scale cyberattacks).
10.6. Survival
Sections 1.2, 4, 5, 7, 8, 9, 10, 11, and 12 survive termination or expiration of these Terms.
11. AI-Generated Content (Hoot)
The Service includes the Hoot engine, which produces narratives and textual analyses generated by large language models (notably from the Anthropic Claude family) using proprietary WattAhead prompts and curation pipelines.
The Licensee expressly acknowledges that:
- despite validation safeguards implemented by WattAhead (post-generation controls, validation against detected events, consistency filters), large language model outputs may contain errors, inaccuracies, omissions, or hallucinations;
- Hoot narratives are produced for informational and editorial purposes only, and do not constitute professional advice nor guaranteed factual truth;
- any critical claim derived from a Hoot narrative must be independently verified by the Licensee before any operational, financial, or republishing use;
- WattAhead owns the Hoot system (prompts, orchestration, curation pipeline, event detection logic); the underlying language models remain the property of their respective providers, subject to their own terms;
- the Licensee receives a limited license to display Hoot narratives within its internal interfaces, subject to the attribution obligation in Section 4.4 for any public distribution;
- WattAhead may, at any time and without notice, modify, replace, or remove underlying AI models for technical, contractual, or quality reasons.
12. Data Sources and Third Parties
The Service aggregates, normalizes, and enriches data from public and semi-public sources, including (non-exhaustive list):
- ENTSO-E (European Network of Transmission System Operators for Electricity);
- EIA (U.S. Energy Information Administration);
- AEMO (Australian Energy Market Operator);
- Open-Meteo and equivalent weather data providers;
- regional grid operators (ERCOT, CAISO, PJM, MISO, NYISO, Elexon, REE, among others);
- other public sources or contractual partners of WattAhead.
The Licensee acknowledges and accepts that:
- these source data are subject to the licenses and terms of their respective issuers, which may impose additional restrictions (commercial use, attribution, redistribution) that apply in addition to these Terms;
- it is the Licensee's responsibility to verify the compliance of its specific use with these source terms, in particular for any public distribution or integration into a commercial product;
- WattAhead does not warrant or certify the Licensee's compliance with the terms of all third-party sources;
- WattAhead may at any time add, remove, or replace a data source, without this constituting a breach.
